UPA LICENSING AGREEMENT
State/Area of License Agreement: Frederick county (VA) and Jefferson county (WV)*

UPA grants exclusive rights to offer amateur league services during the term of this Agreement in and throughout the specified area.*

The term of this Agreement shall be perpetual provided all obligations are maintained in accordance with UPA standards. At the commencement of this Agreement I shall remit $500 to the UPA and $100 thereafter on the 1st of each calendar month towards the remaining balance of $2,000. Should I neglect to pay the remaining balance in accordance with terms stated I shall forfeit all paid monies.*

It is my sole responsibility to know and follow all UPA rules, policies, and procedures at all times and failure to do so concedes & forfeits any/all licensing rights. UPA shall solely and exclusively have the right to determine if my performance complies with said obligations. Any failure to remedy directives by the UPA within seven (7) days following notice by the UPA, the UPA may terminate this Agreement at once without any further notice.*

As a standard I shall submit league night paperwork and results within 1 business days of league play. I shall conduct all general league management items promptly and correctly including but not limited to; Dues, Prize Fund, Membership requirements, scheduling, etc. Failure to do any of the following may result in the termination of this license or other fines/fees.*

I understand and acknowledge that UPA pool leagues are Family Friendly and I shall only recruit/maintain members who have joined the UPA and remain in good standing with UPA principles and ideals.*

Upon providing proper UPA services to members I shall retain $3.80 of all Nightly Dues. I shall secure $4.20 for Prize Fund payouts prescribed by the UPA. UPA reserves the right to request all withheld Prize Fund at any time and for any reason. I shall remit a service fee of $2.00 from each nightly player due as ongoing compensation for licensing and service. All fees are payable on the 1st of each calendar month and late fees shall be incurred after seven (7) days at 1.5% additional feel per day and the license is subject to termination without notice after fifteen (15) days of non-payment. Should I decrees Nightly Dues of $10 I shall remit the same amount to the UPA with my amount and that of Prize Fund being decreased in accordance with UPA standards.*

I understand and acknowledge that failure to communicate with the UPA and/or failure to continue league play for a period longer than 3 months (90 days) shall terminate this License Agreement.*

I understand and acknowledge that any communication/announcement to discontinue UPA leagues will result in the immediate forfeiture and termination of this License Agreement.*

I shall not use, manufacture, or create UPA trademarks, names, or logos, without the expressed written authorization of the UPA. I shall comply fully with all UPA standards and procedures on the World Wide Web. I shall not engage in the selling of UPA items/merchandise of any kind on the World Wide Web.*

I understand that I am an independent contractor with a business of my own entirely seperate from the UPA. I specificly indemnify and hold harmless the UPA with any costs associated with the running of my pool league business.*

At the signing of this Agreement I shall respect the confidentiality of UPA patents, trademarks, and trade secrets, and shall not disclose any information to a third party. I agree not to make use of any research done while in the course of working with the UPA and shall not attain employment by UPA competitors or set up in business as direct competitor of the UPA throughout this Agreement and for 1 year after.*

Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled in the state of Nevada by arbitration administered by the American Arbitration Association and its Commercial [or other] Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.*
